How do I know if my Registered Agent is current?
Each state requires your business to have a current designated Registered Agent on file. The Registered Agent was initially appointed when you filed your Articles/Certificate of Organization with your state in order to form your LLC. If no changes have been made, and that person or commercial entity is still acting as the Registered Agent for your business, you are considered "in good standing" with the state. Alternatively, if your Registered Agent has changed, and you have updated this information with the state, you are also considered "in good standing" with the state. However, sometimes businesses do not keep their Registered Agent current with the state. This can happen if the person who was initially designated as a Registered Agent is no longer affiliated with the business and never formally filed the paperwork with the state to resign as a Registered Agent, and no new Registered Agent was appointed. It can also happen if a commercial Registered Agent was appointed and the business failed to renew that service on an annual basis. In both cases, the business no longer has a current Registered Agent.
What happens if my Registered Agent is not current with my state?
If your Registered Agent is not current with the state, the business runs the risk of losing it's status as "in good standing" with the state. In some states, this means the state can dissolve (or "shut down") your business. In order to return the business to a good standing status, this means filing more paperwork ("reinstating" the business) and paying the associated fees, which can get expensive. Moreover, if the Registered Agent is not current, and is the one listed with the state who correspondence, notices, and service of process is sent to, then your business is no longer receiving important information. In a worst case scenario, if your business does not receive notice of a lawsuit filed against you, the court may file a default judgment against you.
